This EULA governs licensed use of software products developed and distributed by Delice Automatics Ltd, including RaConnect, MicroAPI components, RA Office Tools / Smart Office Tools clients and agents, and related updates. It does not govern RA Workshop software licensed by Pyramid Software SRL.
Licensor: Delice Automatics Ltd (Автоматика Делис ЕООД), EIK 200536555, VAT BG200536555, Golden Class 20, Stara Zagora, Bulgaria. Licensee: the individual or legal entity installing or using the Delice Software. Support: service@delice.bg. Privacy: office@delice.bg. Legal: a.petrov@delice.bg.
Subject to payment of applicable fees and compliance with this EULA, Delice grants a limited, non-exclusive, non-transferable licence to install and use the Delice Software for your internal business purposes in accordance with documentation and any order form or subscription terms. This licence ends on material breach (after any applicable cure period), non-payment of applicable fees, or product discontinuation with reasonable notice where required by law. Delice does not revoke the licence arbitrarily without cause where mandatory law prohibits such revocation.
You must not copy, modify, translate, reverse engineer, decompile, or create derivative works of the Delice Software except where mandatory law permits; rent, lease, or sublicense it; remove proprietary notices; or use it to build a competing product or unlawful surveillance tool. You must comply with user, device, company, and site restrictions stated in your order, subscription plan, or technical documentation (including limits on named users, installations, connected sites, or environments).
Delice and its licensors retain all rights, title, and interest in the Delice Software. No ownership passes to you. RA Workshop components accessed through Delice integrations remain subject to Pyramid Software licence terms.
Certain Delice products install local agents or on-premise components (for example RaConnect MicroAPI on Windows endpoints). You are responsible for lawful installation, informing affected users, and maintaining endpoint security. Local agents operate only within the scope of your configuration and authorised integration or support sessions.
Support is provided according to your active subscription or support plan. Delice may provide updates, patches, and remote assistance where expressly authorised. Contact service@delice.bg for support requests.
Delice may deliver updates, upgrades, or patches automatically or on request. Unless your order states otherwise, updates and upgrades within the same licensed product tier are included in active maintenance. Continued use after a non-material update constitutes acceptance of that update. Material changes require renewed acceptance where required by applicable law or your contract. Major version upgrades may require a separate order.
Except where mandatory law requires otherwise, the Delice Software is provided "as is" and "as available" without warranties of uninterrupted operation, fitness for a particular purpose, or error-free performance.
Nothing in this EULA excludes or limits rights that cannot be excluded or limited under mandatory consumer or other applicable law, including statutory remedies for digital content or digital services where you qualify as a consumer.
To the maximum extent permitted by law, Delice's aggregate liability arising out of or related to the Delice Software shall not exceed the fees paid by you for the specific Delice Software during the twelve months preceding the claim. Delice is not liable for indirect, incidental, or consequential damages except where liability cannot be excluded by law. For business users (B2B), these caps apply to the fullest extent permitted. Nothing in this section limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that mandatory law prevents from being limited, including mandatory consumer rights.
Delice may suspend access immediately for security risk, suspected fraud, or material breach. Where appropriate, Delice will give you notice and a reasonable opportunity to cure non-material breaches before termination. This licence ends if you fail to cure a material breach, fail to pay applicable fees, or if Delice discontinues the product with reasonable notice where required by law. Upon termination you must cease use and uninstall the Delice Software, except for copies retained as required by law or documented backup policy.
You are responsible for your data, backups, and credentials used with the Delice Software. Delice may process technical and support data as described in the Privacy Notice and DPA where applicable. Do not share secrets in support channels unless necessary.
Third-party software, cloud services, or APIs integrated with Delice products remain subject to their own terms. If this EULA conflicts with a signed order form or master services agreement for the same Delice Software, the signed commercial document prevails to the extent of the conflict unless mandatory law requires otherwise.
This EULA is governed by Bulgarian law, without prejudice to mandatory consumer rights. Disputes shall be submitted to the competent courts in Bulgaria unless mandatory law provides otherwise.
